A Confidentiality and Non-Disclosure Agreement ("NDA") is a document used to protect the intellectual property surrounding your product when working with external partners. This NDA is specifically formatted to protect you when working with factory partners and service providers, such as graphic designers, copywriters, and marketing partners. An NDA is commonly exchanged when starting a new relationship a new partner, and signed by both parties.
NDA Agreements are designed to prevent manufacturing and creative partners from doing the following:
- Turning your 'back of the napkin' idea into their own commercialized product
- Sharing your product design with an unauthorized third party
- Using your confidential information to create similar products, or to help one of your competitors
